Our Distressed Assets Group advises international financial institutions, including distressed asset funds, investment and commercial banks as well as asset managers and debt collection agencies involved in arranging and executing distressed asset transactions both in and through Ireland.
The nature of such transactions usually involves advising on each of the taxation, banking and financial services, regulatory, insolvency and capital markets elements of cross-border structures and results in our working closely with arrangers, originators, managers and law firms in jurisdictions throughout the world.
We are the only Irish law firm to have a dedicated Distressed Asset Group. We advise on a wide range of transactions such as:
- real estate related transactions
- special situations
- non-performing loans / sub-performing loans (consumer and commercial)
- mortgage backed deals
- asset backed securities
- debt buy-backs
We have advised in relation to:
- the first securitisation of Greek distressed consumer receivables by a foreign non-banking institution
- the acquisition of a portfolio of UK residential mortgages by an Irish company in a tax efficient manner
- a joint venture investment vehicle on the acquisition of Spanish receivables in a tax efficient manner
- a group of investors (with differing investment criteria i.e. debt/equity etc) in relation to the acquisition of a European distressed loan
- the acquisition of a portfolio of medical and healthcare receivables in the Netherlands
- the acquisition of pools of distressed receivables in the Czech Republic, France, Germany, Italy, Ireland, the Netherlands, Poland, Romania, Russia, Spain, the United Kingdom etc.
- on equity investments coupled with high yield lending in respect of special situations companies in Germany, France and throughout Europe
- advising leading financial institutions on the repurchase of their own public debt at a discount
- on numerous distressed investments, particularly in the real estate finance sector
- undertaking due diligence on distressed asset portfolios in Ireland and advising on all relevant structuring, tax, legal and regulatory issues
